Photo of Michael Fox 2024Michael Fox is the founder of The Fox Law Practice, P.C., where he concentrates on a business transactional law practice with a focus on providing fractional legal counsel services to retail and consumer products companies.

Michael brings to his clients a unique perspective, having served in the role of General Counsel for over 25 years at Orchard Supply Hardware, Jamba Juice, ProMost, and Sony Signatures before moving back to private practice in 2016. Michael’s experiences as a General Counsel helped him develop expertise in many legal disciplines, as well as providing the opportunity to work alongside colleagues at all levels and functions within an organization. These experiences taught him the importance of communication, a team approach, providing practical solutions to legal issues, and protecting against the unexpected. In private practice, Michael prides himself on using this knowledge and experience to help his clients achieve their goals in a cost-effective and efficient manner.

Michael received his A.B. from the University of California, Berkeley in 1981 and his J.D. from Hastings College of the Law in San Francisco in 1984. Michael is admitted to practice in California and Texas.

PRACTICE AREAS

Fractional General Counsel and In-House Counsel Services. Rather than getting legal help from a traditional law firm (at traditional law firm rates) or hiring a full-time staff lawyer, Michael will work with a company on a part-time general counsel or on-demand basis to learn its business in order to provide cost-effective, proactive, preventative, and strategic business-relevant legal work and advice.

Retail and Consumer Products Industry Representation. Michael continues to represent clients in the retail and consumer products industries on a wide variety of matters particular to this sector. These clients range from brick-and-mortar stores to consumer-facing online stores and services to manufacturers selling a range of consumer products, especially in the food and beverage, and cosmetic industry sectors. Besides providing real estate commercial leasing legal services, Michael addresses legal concerns related to store operations, FDA and FTC matters, franchising, employment, merchandising, marketing, technology, trademarks, and sales and distribution matters. Michael’s representation also extends to providing legal guidance on financial and investor relationships and corporate governance matters.

Commercial Contracts Practice. Michael helps clients negotiate a wide range of commercial contracts, including software license and support agreements, supply agreements, reseller and distribution agreements, consulting agreements, service level agreements, software as a service agreements and confidentiality and non-disclosure agreements.

Corporate Law and Corporate and Real Estate Transactional Matters. Michael counsels clients on various corporate law and corporate and real estate transactional matters. His corporate law and transactional practice encompasses entity formation, corporate governance, securities law, mergers and acquisitions, joint ventures, intellectual property, commercial real estate leasing and purchase and sale transactions, financings, and contracts.
